1. Introduction

These Terms & Conditions  govern the subscription service provided by SouthBayStock for access to stock footage. By subscribing to the Service, you agree to comply with these Terms.

2. Subscription Plans

Subscribers can choose from various subscription plans as offered by the Company. Each plan provides access to the Footage library, subject to these Terms.

3. License Grant

While the subscription is active, the Subscriber is granted a non-exclusive, non-transferable license to use the Footage in an unlimited number of projects.

4. License Termination

• Subscription Period: The license is valid only during the active subscription period.

• Post-Subscription: Once the subscription ends, the license is terminated, and the Subscriber cannot use the Footage in any new projects.

• Existing Projects: Projects created during the active subscription period can continue to use the Footage without any interruption or additional fees, even after the subscription ends.

5. Renewal and Reactivation

• Renewal: If the subscription is renewed, the license is reactivated.

• Access: Upon renewal, the Subscriber can freely use both new and previously selected Footage in new projects.

6. Usage Restrictions

Subscribers are prohibited from:

• Reselling, redistributing, or sublicensing the Footage.

• Using the Footage in any manner that violates any applicable law, regulation, or the rights of any third party.

• Using the Footage in a defamatory, pornographic, or otherwise illegal manner.

7. Intellectual Property

• Ownership: The Company retains all rights, title, and interest in and to the Footage, including all intellectual property rights.

• No Ownership Transfer: The Subscriber does not acquire any ownership rights to the Footage through the subscription.

8. Liability

• Warranty Disclaimer: The Footage is provided "as is" without any warranties, express or implied.

• Limitation of Liability: The Company's liability is limited to the maximum extent permitted by law. The Company shall not be liable for any indirect, incidental, or consequential damages arising out of the use or inability to use the Footage.

9. Termination

• The Company reserves the right to terminate the Subscriber's access to the Service at any time for breach of these Terms.

• Upon termination, the Subscriber must cease all use of the Footage.

10. Changes to Terms

The Company reserves the right to modify these Terms at any time. Subscribers will be notified of any changes, and continued use of the Service constitutes acceptance of the modified Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the city of Redondo Beach in Los Angeles County.
